Summary of Job Description:
The Legal Counsel is responsible for assisting the Legal Director to manage Japan’s legal matters
across all functional areas.
The Legal Counsel’s role will include review and drafting of contractual and other documentation,
advising legal issues, participation in projects and committees, handling corporate secretarial work,
handling disputes and litigation, and managing outside counsel.
He/she is expected to closely work with employees in other departments, especially Compliance.
There are also opportunities to participate in Regional and Global projects
which require excellent English capability.
Major Responsibilities:
・To provide legal support to AbbVie affiliate in Japan, work with the local business teams and assist
on legal matters or projects on a wide range of matters
・Provides legal advice to stakeholders in various substantive areas of commercial law, including contracts,
healthcare, privacy, advertising, anti-corruption and competition
・Able to independently draft ordinarily used agreements, such as confidentiality agreements,
distribution agreements, collaboration agreements, manufacturing agreements, service agreements,
sale and purchase agreements, renewals and termination agreements
・Support contract negotiation on major deals in the area of business development
・Maintain, update and assist to develop AbbVie standard contract terms and contract templates
・Handle corporate secretarial matters
・Perform legal research, identify legal issues relating to assigned matters; propose alternative solutions
・Resolve routine legal matters in area of responsibility with minimum supervision and complex projects
with minimal supervision
・Resolve legal issues on cross-functional projects and projects initiated by corporate/area
・Resolve legal issues using negotiation skills and legal expertise
・Develop tools and processes to effectively manage legal work and requests for legal work
・Help implement and manages policies and procedures across the affiliate, such as third party management process
・Participate in projects and committee meetings as a representative from Legal
・To the extent that complex problems or specific technical expertise is required, work closely with Regional
or HQ Counsel as well as Affiliate’s Legal Director and/or select and direct the work of outside counsel
・Expected to develop solid knowledge of the pharmaceutical industry and regulations, AbbVie’s businesses
and knowledge of the broader business impact of decisions made
・Expected to keep abreast of changes in laws that affect client areas
・Coach and train the business on key legal developments and areas such as privacy and competition law
・Effectively manage the use of outside counsel so as to generate optimal value in the services provided to AbbVie
Knowledge/Skills
・Excellent written and spoken English
・Native level Japanese language skills
・Computer skills (Word, Power Point, Excel, Share Point)
・Meticulous and attention to details
・Able to work independently and with multicultural teams
・Good written and oral communication skills and negotiation skills
・Needs to be highly motivated and enthusiastic demonstrating initiative, adaptability, integrity,
strong communication skills and the ability to work both independently and effectively in teams
・Professional and high integrity and ethical standards
Work Experience
・At least 7 - 10 years prior work experience, preferably gained
from a reputable law firm or as an in-house counsel in an international organization.
Legal experience in the life science industry is strongly preferred.
Education/Experience Required:
・Bachelor of Law degree
・Bar admission (Japan, US or other major jurisdictions)
・Familiar with general contracts, corporate and commercial law
・General understanding and experience in intellectual property matters
(protection of trade secrets, patents and trademarks)
・Good understanding of anti-bribery laws, ethics and compliance
・Understanding and experience with personal data protection and competition law matters
